Terms of Service

1. Acceptance of Terms

By accessing or using DealProp (“the Platform”), operated by Vantex Holdings LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Platform.

2. Description of Service

DealProp is a real estate investment operating platform that provides deal analysis, pipeline management, vendor coordination, investor collaboration, and related tools for real estate investors, operators, and service providers. The Platform is provided on a subscription basis with various tier levels and optional add-on modules.

3. Accounts and Registration

You must register for an account to use the Platform. When registering, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscription and Billing

The Platform offers a 14-day free trial. After the trial period, continued use requires an active paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.

• All fees are non-refundable except as required by law
• We may change pricing with 30 days' written notice
• Usage-based charges (e.g., ATTOM data credits) are billed in arrears
• Failed payments may result in service suspension

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Platform
• Interfere with or disrupt the Platform's infrastructure
• Scrape, crawl, or data-mine the Platform
• Resell or redistribute Platform data without authorization
• Upload malicious code or content

6. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, software, and the design system, are the exclusive property of Vantex Holdings LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the data you input into the Platform.

7. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to the practices described in the Privacy Policy.

8. Third-Party Services

The Platform integrates with third-party services including, but not limited to, property data providers, payment processors, insurance providers, and lending referral partners. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or actions of third-party services.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. Deal analyses, property valuations, and financial projections are for informational purposes only and do not constitute financial, legal, or investment advice.

10. Limitation of Liability

To the maximum extent permitted by law, Vantex Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the “Last updated” date. Continued use of the Platform after such changes constitutes acceptance of the new Terms.
